Global IP Sound, Inc., and Global IP Sound AB (“GIPS”) offer you the
opportunity to use certain GIPS trademarks, service marks, and associated design
marks and logos (“GIPS Marks”) in advertising and as hotlinks from your web page
to GIPS web pages, provided you agree as follows.
- General Rules For Using GIPS Marks. GIPS Marks:
- May only be used with GIPS’s permission; in a truthful manner; and in a
manner that is related in a positive way to your business relationship with or
recommendation of GIPS. For example, a GIPS Mark may be used on a website
accompanied by the text “XYZ is enhanced with GIPS SoundWare” where “GIPS” and
“SoundWare” are linked directly to the GIPS web site.
- Must be accompanied by the following attribution: "Global IP Sound, GIPS,
and associated design marks and logos are
trademarks owned or used under license by Global IP Sound, Inc., a wholly owned
subsidiary of Global IP Sound AB, and may be registered in certain
jurisdictions.” Or, where space is very limited, “Global IP Sound, GIPS, and
 are trademarks of Global IP Sound
Inc.”
- May not be altered in any way; for example, the minimum background space
surrounding logos must be maintained, and proportions may not be changed.
- Must, in addition to these terms and conditions, conform to the Global IP
Sound Trademark & Logo
Guidelines , as updated from time to time by GIPS (the “Guidelines”). A list
of selected GIPS Marks may be found at Global IP Sound Marks .
- Special Usage Rules. Unless specific written permission is granted by
GIPS, the following additional restrictions apply:
- Product Marks. GIPS Marks that relate to products of GIPS may be used only
while your company is a licensee of GIPS technology relating to that mark.
- Service Marks. GIPS Marks that relate to services of GIPS may be used only
while your company is a current user of the relevant GIPS services. Online Usage
Rules. If used online, GIPS Marks:
- Must appear in a prominent location no smaller than 90 by 30 pixels when
viewed with a browser in full-screen mode on a standard (minimum 10” diagonal)
monitor.
- Must appear on the site twenty-four hours a day, seven days a week, in HTML
or similar format accessible via the World Wide Web.
- May not be used merely as static images, but must be configured as a link to
a specified GIPS web site so that when a user clicks on the logo it connects the
user to the appropriate GIPS web page, without frames or other carryovers from
the originating site. For example, the “gips” logo must link to http://www.globalipsound.com.
- May be used as metatags only with express permission from GIPS.
- Quality Control. You must submit a sample of each proposed use of any
GIPS Mark for GIPS’s approval before its first usage and in its final form. GIPS
may monitor your web site, advertising copy, and other use of the GIPS Marks.
GIPS Marks may not be used in connection with any materials GIPS deems in its
sole discretion to be objectionable. This license may be revoked by GIPS at any
time, even if GIPS has previously approved such usage, if:
- Any use is not in compliance with this license or the Guidelines.
- GIPS elects to change or terminate any part of this program.
- GIPS objects to any aspect of your use of the GIPS Marks, or requests that
you discontinue usage, and you fail to cure the problem immediately.
- Where To Get GIPS Marks and online logos. You may only obtain GIPS
Online Logos directly from a GIPS representative, or in electronic form from Global IP Sound Marks .
- No Sublicense Rights. You may not forward GIPS Marks, or extend any
rights under this Agreement, to any other person, or to a website not controlled
by you.
- No Endorsement. You understand that your use of GIPS Marks is not
intended as GIPS’s endorsement of, sponsorship of, or affiliation of your
company or website with GIPS.
- Ownership. The GIPS Marks are owned by GIPS. Your use of the GIPS
Marks acknowledges GIPS’s ownership of the GIPS Marks. You agree that you will
not use any GIPS Mark in any way that is inconsistent with GIPS’s ownership.
Your use of the GIPS Marks, and any associated goodwill and interests, inure
solely to the benefit of GIPS. If you are vested with any interest in any GIPS
Mark, by operation of law or otherwise, you agree to assign and hereby assign
all such interests to GIPS, and agree to take all reasonable steps to assign
such interests to GIPS, including but not limited to executing appropriate
documents of assignment.
- Infringement. You agree that you may not use, directly or indirectly,
any GIPS Mark or any mark confusingly similar to any GIPS Mark (a) as part of
your trade name, (b) in any other way that suggests any relationship between you
and GIPS other than as set forth above, or (c) as a trademark for any other
product or service, and that such unpermitted use constitutes infringement.
- Notice Of Infringement. You must notify GIPS promptly if you become
aware of any actual or possible infringement of any GIPS Mark, and agree to
cooperate, at GIPS’s reasonable expense, in prosecuting any infringement. You
may not take action regarding such infringement without GIPS’s consent.
- Liability. GIPS disclaims all warranties of any kind, express or
implied, with respect to the GIPS Marks, including but not limited to any
warranty concerning infringement of third party rights. You agree that GIPS has
no liability for your use of the GIPS Marks, and that you will indemnify GIPS
for any costs it may incur related to your use of the GIPS Marks. You
acknowledge that use of any GIPS Mark in violation of these terms will cause
irreparable harm to GIPS, and therefore agree that GIPS may obtain injunctive
relief in the event of such violation without having to prove irreparable harm
or post a bond.
- No Other Licenses. Absent a separate written agreement with you, GIPS
grants you no rights in the GIPS Marks other than what is stated here. Any other
use may constitute infringement.
- Defaults. Failure to pay GIPS any fees or other consideration when
due results in termination of this license.
- Termination. Your license to use the GIPS Marks ceases upon the
expiration or termination of this agreement for any reason.
- Governing Law. California law governs this Agreement. Any action
concerning this Agreement must be venued in the state or federal courts
presiding in San Francisco County, California, and the parties consent to such
jurisdiction and venue. Choice of law rules do not apply, regardless of
jurisdiction.

license agreement is validated when confirmed in writing by an authorized
representative of GIPS.
